GEN-I, d.o.o. successfully issues bond and commercial paper

Pursuant to the provisions of the Ljubljana Stock Exchange Rules and the Financial Instruments Market Act (ZTFI), the company hereby publishes the following announcement:

GEN-I, d.o.o. announces that it has successfully completed the simultaneous issue of a debt security in the form of a bond and a money-market instrument in the form of commercial paper. Both issues were extremely well-received, as the value of binding offers from interested investors was twice as high as the planned amount of borrowing on the capital market.

The purposes of the issue are the financing of the company’s short-term and permanent working capital, and the diversification of the structure of sources relative to bank lending.

In the scope of the initial public offering, GEN-I issued a 45-month bond with an annual interest rate of 2.4% and 360-day commercial with an annual interest rate of 1.1%.

After they were subscribed and paid up, the financial instruments were issued in book-entry form and entered in the central register of book-entry securities managed by KDD (Centralni klirinško depotni družbi d.d.). The bond was entered under designations GE02 and ISIN SI0032103812, while the commercial paper was entered under designations GEN07 and ISIN SI0032502138.

As is standard practice from the past, the commercial paper will be traded on the organized market of the Ljubljana Stock Exchange in the bond market segment – money market instruments. This also marks the first time that the Ljubljana Stock Exchange will list a bond issued by GEN-I, which is likely one of the reasons for the great deal of interest shown by investors.

The initial public offering of the bond was carried out in the Republic of Slovenia in accordance with the provisions of the Financial Instruments Market Act (ZTFI), based on the exception regarding the obligation to publish a prospectus for certain offerings of securities pursuant to Article 49 of the ZTFI.

The commercial paper was issued in the scope of a public offering for which the application of rules regarding the publication of a prospectus and other rules in connection with the public offering of securities, as prescribed in Section 2 of the ZTFI, is not required. GEN-I d.o.o. will publish a presentation document regarding the listing of the commercial paper prior to the start of trading. The prospectus for the listing of the GE02 bond for trading on the organized market will be published following the confirmation of that document by the Securities Market Agency.

NLB, d.d. provided all services and performed all organizational activities for the issuer, and carried out the initial public offering and issue of the bond in book-entry form through entry in KDD’s central register and the listing of the bond on the organized market. 

Nova KBM, d.d. also provided all services and performed all organizational activities for the issuer, and carried out the initial public offering and issue of the commercial paper in book-entry form through entry in KDD’s central register and the listing of the commercial paper on the organized market.
